The capitalised terms used in this notice shall bear the same meanings given to them in the Offering Circular dated 11 April 2011 for SAECURE 10 B.V.

SAECURE 10 B.V. hereby gives notice to all holders of the Notes of the occurrence of the following events:

(a)               in accordance with the Floating Rate GIC, the interest rate of the Issuer Accounts have become negative. As a result the Issuer has to pay the Floating Rate GIC Provider negative interest on the Issuer Accounts. For the clarification of such payments, certain amendments were made to the Trust Deed and the Floating Rate GIC by means of execution of an amendment and restatement agreement (the Amendment and Restatement Agreement); and

(b)               the Security Trustee has given its consent to the modifications of the relevant documents and the entering by the Issuer into the Amendment and Restatement Agreement;

The Amendment and Restatement Agreement is available for inspection at the office of the Security Trustee at Fred. Roeskestraat 123, 1076 EE Amsterdam. For information on the securitisation transaction we refer to the following website: www.dutchsecuritisation.nl.
